Odeabank A.Ş., Nova Reklamcılık ile arasındaki genel kredi sözleşmesinden kaynaklanan kredi ilişkisi nedeniyle sürece müdahil olmuştur. Banka, rehinli alacakların tedbirlerden muaf tutulmasını talep etmiş; ilk derece mahkemesi bu talebi reddetmiştir. Odeabank, Gebze Asliye Ticaret Mahkemesi'nin 2025/977 Esas sayılı dosyasındaki 15.10.2025 tarihli ara kararına karşı Sakarya Bölge Adliye Mahkemesi 7. Hukuk Dairesi nezdinde istinafa gitmiştir.

Odeabank A.Ş. intervened in the proceedings on the basis of a credit relationship arising from a general credit agreement with Nova Reklamcılık. The bank sought exemption of its secured claims from the protective measures; the court of first instance rejected the request. Odeabank appealed the interim decision of 15 October 2025 in file 2025/977 to the 7th Civil Chamber of the Sakarya Regional Court of Appeal.

Konkordatodan önce, 2024'te Gebze'deki fabrikanın hisseleri icradan satışa çıkarılmıştı. Tesis 39.771 m² alan üzerinde kuruludur; içinde fabrika binası, idari ofisler, depolama alanları ve güvenlik birimleri yer alır. Satış için belirlenen muhammen bedel 1 milyar TL'yi aşmıştır. İlk ihale 4–10 Kasım, ikinci ihale 3–11 Aralık tarihleri arasında yapılacaktı.

Before the concordat, in 2024, the shares of the Gebze plant were put up for enforcement sale. The site covers 39,771 m² and includes the factory building, administrative offices, storage areas and security units. The appraised value set for the sale exceeded TRY 1 billion. The first tender was set for 4–10 November and the second for 3–11 December.

The structure was never a "Tahincioğlu company". The Competition Authority record gives a more nuanced picture.

Multiple sources refer to Nova having a plant in Moscow and active business in Russia; its offices are in Russia, Belgium and Germany. This is a second ground for elimination, independent of the concordat.

This is the most interesting detail in the Competition Authority record. On 2 October 2006, Tahincioğlu and Mustafa Cezmi Atakan founded Barrows Reklam Hizmetleri Sanayi ve Ticaret A.Ş. for the manufacture of bespoke metal and plastic-based stands and shelving. Its control, like Nova's, sat with Atakan and Tahincioğlu.

And Barrows Global today: founded in 1995, a "commerce experience" company that has been building retail experiences worldwide for thirty years, combining designers, strategists, engineers and makers; it offers POS design, CX strategy and a "Connected Store" media merchandising platform. It has an office at 3 World Trade Center in New York (175 Greenwich Street, 33rd floor). WPP acquired a 35% interest in Barrows in April 2012; at that point the company employed more than 400 people and its total unaudited revenues for the year ended 31 December 2011 were approximately USD 62 million, with unaudited consolidated gross assets of the Barrows companies WPP invested in of around USD 18.3 million. It had offices in Brazil, South Africa and the UK and was about to open in Singapore.

Conclusion: If the intention is to buy a production platform for OMC's Türkiye leg, a company in concordat is a cheap asset rather than an expensive partner. That is an entirely different transaction type, with a different risk profile and a different legal team — but it is a line that should not be closed. The Russia exposure remains an item to resolve in this scenario too.
